1. Eligibility: The Helium Mobile ‘No Tricks, Just Treats’ October 6 to 12, 2025 Giveaway is open only to those who are at least 18 years old (or the age of majority for entry in such contests) at the time of entry. The Giveaway is open to the legal residents of the United States and is void where prohibited by law. Employees of Helium Mobile (the "Sponsor") their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Giveaway. The Giveaway is subject to all applicable federal, state and local laws and regulations. Void where prohibited.

2. Sponsor: Helium Mobile, 2261 Market Street, Ste 10194, San Francisco, CA 94114. This promotion is in no way sponsored, endorsed or administered by, or associated with Apple, Tik Tok, Facebook, Instagram, X, YouTube, Pinterest, LinkedIn or Google. You understand that you are providing your information to the Sponsor of this Giveaway and not to Apple, Tik Tok, Facebook, X, Instagram, YouTube, Pinterest, LinkedIn or Google.

3. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Helium Mobile, as final and binding as it relates to the content. The Giveaway is subject to all applicable federal, state and local laws.

4. Promotion Period: Giveaway entries begin at 12:00 PM PT on October 6, 2025 and ends at 11:59 PM PT on October 12, 2025 (“Promotion Period”).

5. How to Enter: During the Promotion Period, eligible participants may enter in any of the following ways: Purchase Entry (Automatic, no purchase necessary): Sign up for any Helium Mobile plan during the Promotion Period — including the free Zero Plan — and receive one (1) automatic entry. Online Entry (no purchase necessary): Visit https://heliummobile.typeform.com/treat and complete the entry form with your full name, phone number and email address. 3) Mail-In Entry (no purchase necessary): Hand-print your full name, mailing address, phone number, and email address on a 3”x5” card and mail it in a stamped envelope to: Helium Mobile Giveaway Entry, Helium Mobile, 2261 Market Street, Ste 10194, San Francisco, CA 94114. Mail-in entries must be postmarked by October 13, 2025 and received by October 20, 2025.

Limit one (1) total entry per person during the Promotion Period, regardless of method of entry. You may not enter additional times by using multiple e-mail addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of Helium Mobile.

6. Prize: One (1) winner will receive an electronic Apple Gift Card with an approximate retail value (“ARV”) of $1,099.00 plus taxes, intended to cover the cost of an iPhone 17 Pro (Orange) including applicable taxes. Prize will be delivered via email to the email address provided by the winner. Sponsor is not responsible for lost, deleted, misdirected, or undeliverable email, or for the winner’s inability to access or redeem the gift card for any reason. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winner is permitted. Any and all prize related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winner. Acceptance of prize constitutes permission for Helium Mobile to use the winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. Because the value of the prize is greater than $600, it is the winner's responsibility to report and pay all taxes due as the winner. Helium Mobile will contact the winner with a W-9 DocuSign so that it can send the winner an accurate 1099-MISC for their taxes. The W-9 must be completed and returned to Sponsor prior to Sponsor delivering Prize.

7. Winner Selection & Notification: Winner will be selected in a random drawing from among all eligible entries received or postmarked by October 21, 2025, by Sponsor. Potential winner will be notified via e-mail to the e-mail address linked to their entry, on or about October 29, 2025. Winner social media handles may also be announced on Helium Mobile social media. Sponsor is not responsible for technical failures of any kind, including but not limited to misdirected or lost communications, email filtering, or the winner’s inability to locate or redeem the prize once it has been delivered. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within seven (7) days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited and an alternate winner selected. The receipt by winner of the prize offered in this Giveaway is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Prize Fulfillment: Prize will be fulfilled within thirty-five (35) days of winner verification, on or about December 3, 2025.

9. Odds: The odds of winning depend on the number of eligible entries received.

10. Rights Granted by You: By entering this Giveaway you understand that Helium Mobile, anyone acting on behalf of Helium Mobile, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Giveaway, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

11. Winner List: For the name of the winner, send a self-addressed, stamped envelope to: Helium Mobile Giveaway Winner List, 2261 Market Street, Suite 10194, San Francisco, CA 94114. Requests must be received by November 30, 2025.

12. Terms: Helium Mobile reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Giveaway should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In such a case, Helium Mobile may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by Helium Mobile. Helium Mobile reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website or violates these Terms and Conditions.

Helium Mobile has the right, in its sole discretion, to maintain the integrity of the Giveaway, to void entries for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Giveaway rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws and should such an attempt be made, Helium Mobile reserves the right to seek damages from any such person to the fullest extent permitted by law.

13. Limitation of Liability: By entering you agree to release and hold harmless Helium Mobile and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.

14. Disputes: THIS GIVEAWAY IS GOVERNED BY THE LAWS OF UNITED STATES, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Giveaway, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Giveaway), and participant further waives all rights to have damages multiplied or increased.
